Agreement Index
1. Acceptance of Terms & Entity Identity
These Master Terms of Service ("Agreement", "Terms") govern the technical engagement, software development, cloud infrastructure provisioning, and consulting services provided by Quinxta (a business unit managed and operated by My Paper Genie, located at 235, Binnamangala, Indira Nagar, Bengaluru, India - 560038, "Quinxta", "we", "us", "our"). By accessing our services, signing a Statement of Work (SOW), submitting a request through this website, or browsing quinxta.com, you ("Client", "User", "Visitor", or "Organization") implicitly and explicitly agree to be bound by these legal terms in their entirety.
If you are entering into this Agreement on behalf of a corporate entity in the European Union (EU), United Kingdom, United States (USA), Canada, India, Brazil, or any other jurisdiction, you represent and warrant that you possess full legal authority to bind such entity to these covenants. If you do not have such authority, or do not agree with these Terms, you must not use our services or this website.
We may amend these Terms at any time. Material changes will be reflected by an updated "Last Updated" date above; continued use of our services after such changes constitutes acceptance of the revised Terms.
2. Scope of Software Engineering & Advisory Services
Quinxta delivers enterprise technology solutions including but not limited to custom SaaS multi-tenant engineering, cloud microservices architecture, mobile application development (iOS/Android), IoT spatial telemetry ingest engines, artificial intelligence and Retrieval-Augmented Generation (RAG) integrations, and cybersecurity governance audits.
- Statements of Work (SOW): Specific deliverables, milestone schedules, acceptance criteria, and technical specifications will be detailed in mutually executed SOWs, which are incorporated into and governed by this Agreement.
- Agile Iterations: Unless specified as a fixed-price project, engineering execution follows two-week sprint cycles with transparent code commits and staging environment access.
- Change Requests: Modifications to agreed SOW scopes require a formal written Change Order outlining cost and timeline impacts before work proceeds.
- Acceptance Testing: Deliverables are deemed accepted unless the Client submits written, itemized non-conformance objections within the acceptance window stated in the applicable SOW (default: 10 business days).
3. Intellectual Property, Patents & Copyright
Client Work Product: Upon full and final payment of all invoices associated with an executed SOW, Quinxta irrevocably assigns and transfers to the Client all exclusive rights, title, and interest in and to the custom source code, database schemas, UI designs, and documentation developed specifically and exclusively for the Client under that SOW ("Work Product"). No assignment of Work Product occurs, in whole or in part, until payment in full has cleared.
Quinxta Pre-Existing IP, Patents & Trade Secrets: Quinxta retains all right, title, and interest — including any present or future patent rights, patent applications, trade secrets, and copyrights — in its pre-existing proprietary libraries, architectural boilerplates, internal developer tooling, reusable software algorithms, security frameworks, and engineering methodologies ("Quinxta Core IP"), whether developed before, during, or after any engagement with the Client. Nothing in this Agreement transfers, licenses, or waives any right in Quinxta Core IP except as expressly stated in this Section. Quinxta grants Client a limited, perpetual, worldwide, non-exclusive, non-transferable, royalty-free license to use any Quinxta Core IP solely as embedded and integrated within the delivered Client Work Product, and not as a standalone asset.
Reservation of Rights: All rights not expressly granted under this Agreement are reserved by Quinxta. The Client shall not decompile, reverse-engineer, disassemble, extract, or attempt to derive the source code, algorithms, or trade secrets underlying any Quinxta Core IP, nor sublicense, resell, or represent Quinxta Core IP as its own independent creation, except to the extent such restriction is prohibited by applicable law.
Third-Party & Open-Source Components: Deliverables may incorporate open-source or third-party licensed components, which remain governed by their respective original licenses; Quinxta will disclose material third-party license obligations to the Client upon request.
4. Trademarks, Copyright & Website Content
The Quinxta name, logo, wordmark, and all associated branding are trademarks of My Paper Genie, whether or not registered in any jurisdiction. All text, graphics, layouts, interactive tools, source code, and other content published on quinxta.com ("Site Content") are © 2026 Quinxta, operated by My Paper Genie. All rights reserved.
No portion of the Site Content may be reproduced, republished, mirrored, framed, or distributed in any form without Quinxta's prior written consent, except for personal, non-commercial reference or as permitted by applicable "fair use"/"fair dealing" doctrine. Unauthorized use may be reported to legal@quinxta.com and will be treated as an infringement of Quinxta's intellectual property rights, actionable under applicable copyright and trademark law, including takedown procedures analogous to the US DMCA where applicable.
5. SLA & Operational Response Guarantees
Quinxta provides industry-leading Service Level Agreements for active managed support clients:
Standard Support SLA
Average response turnaround under 2 business hours for critical support tickets during business hours (UTC+5:30).
Priority Enterprise SLA
24/7/365 dedicated incident escalation with a 15-minute response target for Critical Severity P1 outages.
SLA credits, if any, are the Client's sole and exclusive remedy for a missed SLA target and are detailed in the applicable SOW.
6. Confidentiality, Security & Non-Disclosure
Both parties agree that all trade secrets, customer data, source code, financial projections, and proprietary algorithms exchanged during the engagement ("Confidential Information") shall remain strictly confidential and used solely to perform obligations under this Agreement. Quinxta executes bilateral Non-Disclosure Agreements (NDAs) upon request, and this Section survives termination of the Agreement for a period of five (5) years, or indefinitely for trade secrets, to the extent permitted by law.
All Client data is processed within ISO 27001-aligned infrastructure adhering to strict access control policies, AES-256 encryption at rest, and TLS 1.3 encryption in transit.
7. Commercial Terms, Invoicing & Taxes
Invoices are issued according to the payment schedule defined in the SOW (e.g., milestone-based or monthly time-and-materials). Payments are due within net 15 or net 30 days from invoice date via wire transfer or ACH. Fees exclude applicable regional sales taxes, GST, or VAT, which shall be added to invoices as mandated by law. Overdue invoices may accrue interest at the maximum rate permitted by applicable law and may result in suspension of services or Work Product delivery until resolved.
8. Warranty Disclaimer
Quinxta warrants that services will be performed in a professional, workmanlike manner conforming to applicable software industry standards. EXCEPT AS EXPRESSLY STATED IN A SIGNED SOW, ALL SERVICES, DELIVERABLES, AND WEBSITE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
9. Indemnification & Limitation of Liability
Each party agrees to indemnify, defend, and hold harmless the other party from third-party claims arising out of its own gross negligence, willful misconduct, or material breach of this Agreement.
IN NO EVENT SHALL QUINXTA OR MY PAPER GENIE BE LIABLE FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. QUINXTA'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE FEES ACTUALLY PAID BY CLIENT UNDER THE SPECIFIC SOW GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
10. Term, Termination & Force Majeure
This Agreement remains in effect for as long as an active SOW exists between the parties, or until terminated by either party with thirty (30) days' written notice. Either party may terminate immediately for the other's uncured material breach or insolvency. Sections concerning intellectual property, confidentiality, payment obligations already accrued, warranty disclaimers, indemnification, and limitation of liability survive termination.
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disaster, war, civil unrest, labor dispute, internet or utility outage, or governmental action ("Force Majeure").
11. General Provisions
- Assignment: Neither party may assign this Agreement without the other's prior written consent, except in connection with a merger, acquisition, or sale of substantially all assets.
- Severability: If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force and effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of that or any other provision.
- Entire Agreement: This Agreement, together with any executed SOWs, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations, or agreements relating to its subject matter.
- Notices: Legal notices must be sent in writing to
legal@quinxta.comor the registered address listed in Section 12.
12. Governing Law, Compliance & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or in connection with this Agreement shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days.
If unresolved, the default dispute resolution mechanism is binding arbitration under the Indian Arbitration and Conciliation Act, 1996, before a sole arbitrator seated in Bengaluru, India, conducted in English, with the arbitral award being final and binding on both parties.
This default may only be superseded by an alternative forum (e.g. LCIA or AAA international arbitration) if — and solely to the extent — the applicable SOW expressly states so in writing and identifies the substitute forum and seat; absent such an express SOW term, the default above governs every engagement regardless of the Client's jurisdiction.
